Official Rules


NO PURCHASE NECESSARY TO ENTER OR WIN THIS CONTEST. This “Contest” begins on March 1, 2007, at 12:01 AM (Central Time) and ends on April 30, 2007, at 12:00 AM (Central Time). This Contest is subject to all applicable federal, state and local laws and regulations, and is void where prohibited or restricted by law. By entering and participating in the Contest, “Entrant” (i) fully and unconditionally agrees to accept and be bound by these “Official Rules,” and by all decisions of w/ LLC (the “Sponsor”), which shall be final and binding in all respects, including, without limitation, decisions regarding eligibility, selection of the “Winner(s),” and the interpretation of the terms and conditions contained in these Official Rules; and (ii) represents and warrants that all information provided by Entrant in connection with this Contest is true, accurate and complete as of the date of entry.


1. Objective. This Contest is designed to provide increased awareness of Sponsor’s products and services.


2. Eligibility. (a) This Contest is open to all legal residents of the continental U.S. (excluding residents of New York, Florida, and Rhode Island) who are 18 years of age or older and a registered member (“Member”) of www.performanceINSIDER.com. If you are not a Member, you must first register before entering this Contest (Member registration may be completed during the Contest entry process). Visit performanceINSIDER.com to learn more about Member benefits for instructions on becoming a Member. Registration is free and only required once. No additional entry fee or purchase is necessary (normal Internet access and usage charges imposed by your Internet service provider will apply). To enter, your computer must accept cookies, or any successor or similar technology (now known or hereafter devised or discovered) which may be used by Sponsor for purposes of entry tracking. Sponsor’s employees, sponsors, advertisers, officers and directors and their immediate family members (parent, stepparent, child, stepchild, sibling, stepsibling or spouse) are not eligible to participate in the Contest or win a prize.
(b) Only one (1) entry submission is allowed per Entrant or e-mail address, regardless of submission format (regardless of whether one person has more than one e-mail address or more than one person uses the same e-mail address). Should multiple entries for the same Entrant or e-mail address be submitted, only the first entry will be accepted, and all others will be void. It is your sole responsibility to notify the Sponsor in writing if you change your e-mail address (visit Sponsor’s Web site for further information related to changing Member registration information).


3. How to Enter. All entries must be made on-line at www.performanceINSIDER.com. Eligible entries must include the first and last name of the Entrant and a valid e-mail address, mailing address and telephone number. Possession of an entry does not constitute valid proof of delivery or receipt. Incomplete entries are void and will not be considered as potential Winner(s). Entries by any other method are void. Any use of automated or programmed methods of on-line entry is prohibited, and will be void. All entries become the property of Sponsor and will not be returned.


4. Selection of Winners. On or about May 1, 2007, a random drawing will be held and six (6) Winners (defined below) will be selected from all eligible entries received by Sponsor prior to the end of the Contest period. The drawing will be conducted by an independent judge, and all decisions are final. The odds of winning are dependent on the number of valid entry submissions. Winners need not be present to win.


5. Prizes. Winners will qualify for online coaching of their driving skills and answering of their questions on the performanceINSIDER.com site for the 2007 season. Winners will also qualify for a free day of racing instruction by Donnybrooke Motorsports Racing School, on a specific date, yet to be determined. Winners will only be invited to this event if they satisfactorily fulfill their obligation to write several stories for the performanceINSIDER.com website during the 2007 season. This decision is solely up to the publisher of performanceINSIDER.com. If for some reason the Winner is unable to attend on the selected date, all efforts will be made to accommodate them on a different date, without the rest of the Winners. Winners must pay for their own transportation, accommodations, and other expenses while participating in the track instruction.


6. Disqualification. Any attempt to enter the Contest in a manner other than provided in these Official Rules shall be VOID and will subject Entrant to disqualification from further participation in the Contest. Entries received from persons not meeting eligibility requirements will be disqualified. Sponsor shall not be responsible or liable for entries from persons residing or located outside the continental U.S., entries that are accurate, incomplete or late, or for technical, hardware or software failures of any kind, including without limitation, lost or unavailable connection, failed, incomplete, garbled or delayed computer transmission, or other errors of any kind, whether due to electronic, mechanical, or human error or other causes which may occur in the delivery or receipt of the entries in this Contest, each of which potential entries will be disqualified. Sponsor reserves the right, at is sole discretion, to disqualify any Entrant it finds to be tampering with the entry process or the operation of the Contest or Sponsor’s Web site.


7. Winner Notification. Potential Winners will be notified by e-mail and/or telephone after the random drawings. Upon confirmation of eligibility, the Prize(s) will be awarded no later than May 7, 2007. The Prizes are guaranteed to be awarded in accordance with these Official Rules. Sponsor reserves the right to verify eligibility qualifications of any Potential Winner. The Winner(s) may be required to sign an Affidavit of Eligibility/Release of Liability/Prize Acceptance Form (the “Affidavit”) upon being notified as a Winner, to be returned to Sponsor by mail or e-mail no later than ten (10) calendar business days from the date of notification as a Potential Winner. Failure of any Winner to return the Affidavit to Sponsor as set forth in this Section will result in forfeiture of the Prize and a new drawing will be held to select a new Winner within five (5) business days. Non-compliance will result in disqualification, and an alternative Winner may be selected. Disqualification and the selection of an alternative Winner may also result from the return of an e-mail notification as undeliverable after three (3) attempts, or a disconnected, unreachable or unanswered telephone number provided with entry. Upon confirmation of eligibility, if Grand Prize Winner becomes ill, disabled, or cannot otherwise fully participate in the Grand Prize race event, Sponsor will have the option, at its sole discretion, of being relieved of liability for fulfillment of the Grand Prize award, or awarding the Grand Prize to an alternate Winner selected from remaining eligible entries previously received and in accordance with these Official Rules. Any unclaimed or undeliverable Prizes will be awarded to an alternate Winner(s). All Prizes will be awarded, provided a sufficient number of eligible entries are received and properly claimed.


8. Agreement to Official Rules. By participating, Entrant agrees and accepts the Official Rules and the decision of Sponsor with respect to the Contest, and by entering the Contest, Entrant agrees to waive any right to claim ambiguity or error in these Official Rules.


9. Release of Liability. By participating, Entrant agrees to release, hold harmless and indemnify Sponsor, its agents, representatives, affiliates, directors, officers and employees from and against any and all liability or causes of action (however named or described) for any injuries, losses, death and/or damages caused by or resulting from entry or participating in the Contest, or resulting from the acceptance, possession, use or misuse of any Prize awarded, or attendance at an event. Sponsor is not responsible for any expenses incurred by Entrant in connection with participation in this Contest. IN NO EVENT WILL SPONSOR, OR ITS PARENTS, SUBSIDIARIES, LICENSEES, AND OR AFFILIATES AND RELATED COMPANIES, ADVERTISING AND PROMOTION AGENCIES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES, AND AGENTS, BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING WITHOUT LIMITATION OR QUALIFICATION, DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR PUNITIVE DAMAGES ARISING OUT OF THIS CONTEST, EVEN IF BEING PREVIOUSLY ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.


10. Modification of Official Rules and/or Contest Termination. Sponsor reserves the right to modify any terms of the Contest and these Official Rules at any time at Sponsor’s sole discretion. Sponsor further reserves the right to suspend or terminate the Contest at any time at Sponsor’s sole discretion. Sponsor will post changes at performanceINSIDER.com should the Contest be modified, suspended or terminated as aforesaid. The Prize(s) will nevertheless be awarded from eligible entries previously received by Sponsor and in accordance with these Official Rules. Sponsor shall assume no responsibility for cancellation due to causes beyond Sponsor’s control.


11. Publicity. Winner(s) agrees to allow Sponsor to use his/her name, likeness, picture and/or biographical information as news or for purposes of advertising, promotion and publicity in all media (including on-line, film, audio, video, electronic or other recordings) and agrees to participate in interviews as may be determined by Sponsor without additional compensation. Failure to make such appearances or grant such rights may result in disqualification with an alternate Winner selected from eligible entries previously received and in accordance with these Official Rules. Entrants agree to be contacted by Sponsor, including via e-mail, in the future (and shall have the opportunity to “opt-out” of such e-mails).


12. Who Won. The Winners will be posted on the Contest’ website. To request a Winner List, send a self-addressed stamped envelope to Sponsor’s mailing address provided in these Official Rules, ATTENTION: “WINNERS LIST.” Requests must be received by May 10, 2007.


13. Law. This Contest shall be conducted in accordance with the laws of the State of Minnesota. All disputes concerning these terms and Contest shall be adjudicated in the federal and state courts having jurisdiction over Hennepin County, Minneapolis, Minnesota USA.
